what is a fair way to set up a small sales company selling referrals over the internet?
My friend and I have an opportunity to generate leads (sales referrals) for an existing brick and mortar business. The company has a successful affiliate and direct sales program that pays $100 per referred sale.
They currently have no Internet representation. My partner and I plan to generate sales from Internet marketing only – no traditional sales.
What is the best way to legally set up the business to protect our interests as a company and my interests personally?

When you say “protect our interests as a company,” do you mean the company you are referring people to or the one you plan to form with your friend?
It really depends if you are employees of the brick and mortar business. If you aren’t, you could set up a limited liability company (LLC) and have the brick and mortar business pay your company (the LLC) for the referrals. You and your partner would then file the appropriate tax forms for your partnership.

If you can help just one business client successfully market their company and product on the Internet, all you have to do is take that story to somebody else that HE KNOWS, and ask them if they’d like to hear how you helped the first guy. Nobody cares about a brag story from your mouth, but they do care about the other guy’s story who you helped.
There will always be room in every consulting industry for another player who has a track record and integrity. Stop reading the news about how bad everything is. People still have to eat and drive and buy clothes and have babies. The stupid media would have us think everybody’s going to stop eating. I didn’t say people aren’t cutting back. But have you ever noticed that regardless of the economy, there are always the exact same amount of people needing services as people providing them? Anyway I’m getting off track. Just approach your business friends with a proposal where they get more out of it than you do, until you get that first success story, you need to give your services for less than they’re worth, then you can flip that equation over later.

They know what they’re talking about too! They helped me with some video production I needed, as well as some pay-per-click marketing and search engine optimization (which I’ll admit I knew nothing about either).
